Terms of Service

Effective Date: April 28, 2026. These terms define rights, obligations, and legal boundaries for use of AYZA Medicare services.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of AYZA Medicare's website, communications, and home healthcare services (collectively, the "Services"). By booking, using, or accessing the Services, you agree to be bound by these Terms.

If you are accepting on behalf of a patient or organization, you represent that you have authority to bind that party to these Terms.

2. Services and Eligibility

AYZA provides healthcare-related and support services as described on our website and service agreements. Availability may vary by patient condition, location, staffing, scheduling, and clinical suitability.

You must provide accurate information to enable safe care planning. We may decline, reschedule, suspend, or discontinue services where clinically necessary, legally required, or operationally justified.

3. Clinical Boundaries and No Emergency Care

Our Services do not replace emergency medical services. In emergencies, contact your local emergency number immediately.

Care plans, recommendations, and visit schedules are based on available information and clinical judgment. Outcomes may vary and are not guaranteed.

4. User Responsibilities

You agree to provide complete and accurate medical and logistical information, maintain a safe care environment, follow agreed care instructions, and promptly report relevant changes in condition.

You are responsible for safeguarding credentials, devices, and communications used to access digital aspects of our Services.

5. Appointments, Cancellations, and Access

Appointment windows may be subject to operational adjustments. We will make reasonable efforts to notify you of schedule changes.

Late cancellations, repeated no-shows, or inability to access the patient/home may lead to charges, rescheduling, or service suspension in accordance with your service plan.

6. Fees, Billing, and Payment

Fees are communicated in your proposal, plan, invoice, or service agreement. Payment terms, due dates, and accepted methods are specified in billing documents.

You are responsible for all amounts not covered by an insurer or third-party payer. Overdue balances may result in paused non-critical services, subject to legal and clinical considerations.

7. Insurance and Third-Party Coverage

Where insurance or employer programs are involved, eligibility and reimbursement decisions remain with the third-party payer. AYZA does not guarantee coverage decisions or reimbursement timelines.

8. Privacy and Health Data

Your use of the Services is also governed by our Privacy Policy, which explains how personal and health data is processed. By using the Services, you acknowledge that data processing necessary for care and operations may occur as described in that policy.

9. Intellectual Property

All content, trademarks, design assets, and materials on the website and in service documentation are owned by AYZA or its licensors and are protected by applicable intellectual property laws.

You may not copy, modify, distribute, reverse engineer, or commercially exploit any part of the Services without prior written authorization.

10. Prohibited Conduct

You may not use the Services for unlawful, abusive, fraudulent, or disruptive purposes, or in any manner that threatens patient safety, staff safety, system security, or regulatory compliance.

11. Third-Party Services and Links

The Services may reference or integrate third-party websites, tools, labs, pharmacies, or payment channels. AYZA is not responsible for third-party content, availability, or independent policies unless expressly stated.

12. Disclaimer of Warranties

Except where prohibited by law, the Services are provided on an "as available" and "as applicable" basis. AYZA disclaims implied warranties to the maximum extent permitted by law, including merchantability and fitness for a particular purpose.

Nothing in these Terms excludes rights that cannot legally be excluded under applicable healthcare or consumer law.

13. Limitation of Liability

To the fullest extent permitted by law, AYZA and its affiliates, officers, staff, and contractors are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, loss of data, or business interruption.

Where limitation is legally permitted, total liability arising from the Services is limited to the amounts paid for the specific services giving rise to the claim during the twelve months preceding the event.

14. Indemnification

You agree to indemnify and hold harmless AYZA and its personnel from claims, losses, liabilities, and costs (including reasonable legal fees) arising from your breach of these Terms, misuse of the Services, or violation of applicable law.

15. Suspension and Termination

We may suspend or terminate access or service where required for safety, legal compliance, non-payment, abuse, material breach, or operational necessity. Termination does not extinguish accrued payment obligations or legal rights.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Qatar, unless mandatory law requires otherwise. Disputes shall be submitted to the competent courts of Qatar, subject to any mandatory arbitration or mediation requirements in applicable agreements.

17. Changes to These Terms

We may revise these Terms from time to time. Updated versions become effective upon posting with a revised effective date. Continued use of the Services after updates constitutes acceptance of the revised Terms.
